Minutes of the Meeting of the Board of the Irish Blood Transfusion Service held on Wednesday 10th July, 2002 at 2.00pm

1. Minutes of Meeting 12.06.2002
The Minutes of the Board meeting held on Wednesday 12th June 2002 were adopted on the proposal of Ms M McGrath, seconded by Ms V Mannix and signed by the Chairman subject to amendment.

3. CEO's Report
Mr A Kelly reported that blood supplies remain robust. The Board noted the letter from the Southern Heath Board (SHB) offering a site at CUH for the new Cork Blood Centre. Mr Kelly confirmed that Mr Hurley, Chief Executive Officer, Southern Heath Board, had been written to, suggesting that the SHB nominate someone to liaise with Mr John Keating of the IBTS on the Cork Development Project. It was agreed at the meeting of the Cork Development Project Group on June 18th 2002, that a sub-group comprising of Dr. Power, Mr. T. McNamara, Mr. S. O'Brien, Mr. J. Keating (Project Officer), Mr. T. Corcoran (Facilities Manager) and representatives from the Department of Health and Children, would review the sites from the initial search, the two vacant premises and the site on Cork University Hospital and make a recommendation to the Project Team on the most appropriate site for the new centre. It was agreed that the Cork Development Project Team would report back to the Board at the earliest opportunity.

5. Organisational Development & Change
Presentation on HR Review
HRS Consultants briefed the Board on the recent HR Review. A number of recommendations were made as a result of the review.
Recommendations:
* The responsibilities of the HR function should be widened.
* Resources to HR function should be increased to facilitate recommendations.
* New roles within HR function should be established with a new HR management structure.
* A management development programme should be devised and implemented within a 12 month timeframe.
* The Staff Training policy should be implemented.
* A Project Plan should be drawn up to identify HR information needs and the technology required to fulfil these needs.
* An employee attitude survey might be conducted to improve employee morale and gain employee support for organisational initiatives.
* Improve recruitment process.
* Develop an internal communication policy.
* Draft a staff handbook outlining HR Policies & Procedures & staff benefits.
* Develop a performance management system as a long-term objective
* Ensure that there is follow through on recommendations being implemented.

The Chairman thanked HRS Consultants for the presentation.

It was felt important that the vision/mission of the IBTS should be clarified for staff and that the HR function should be re-positioned within the organisation so that it can be seen to add value to the mission of the IBTS.

It was agreed that HRS Consultants would continue to facilitate the Change Management Group in drawing up an implementation strategy.

It was agreed that the resource and other implications of implementing the recommendations would require analysis. It was agreed that the CEO in moving the OD Process forward, would liaise with HRS Consultants and progress the HR recommendations, specifically the development of HR strategy (including approval / funding for the new HR structure and roles) in tandem with delivering on ongoing operational issues.

The HRS Consultants Report was unanimously adopted on the proposal of Ms M McGrath and seconded by Ms V Mannix.

8. Minutes of Finance Committee - June 5th 2002
Mr T McNamara briefed the Board on the meeting of the Finance Committee June 5th 2002. He noted that the most recent financial figures showed the IBTS ahead of budget by €1.8 million.

Investment Manager Review
It was proposed by Ms V Mannix, seconded by Dr A O'Connor and agreed by the
Board that the new investment strategy would come into effect as and from
September 1st 2002.

It was agreed that the Board would meet Thursday July 18th at 2.30pm in the NBC to deal with items deferred from the Board Meeting of 10th July.
